At time case was filed, individual who, if added, would destroy diversity jurisdiction was not a necessary party, and district court did not err in denying motion to dismiss under Fed.R.Civ.P. 12(b)(7); valid forum selection clause created jurisdiction in Minnesota; district court did not err in refusing to abstain; question of whether parties were fraudulently induced to adopt the entire package of amendments to the partnership agreement was an issue for the arbitrator; court did not err in compelling defendants to arbitrate their claims as individuals, as opposed to as a class.
