   District of South Dakota   
   Civil Case - contract. Orion Financial Corp agreed to procure 
   grants and loans for the benefit of American Foods Group, Inc., 
   in exchange for flat rate fees and success fees. Following 
   termination of agreement, Orion sued for recovery of fees. 
   District court's judgment granting fees to Orion is affirmed 
   in part, reversed in part and remanded for consideration under 
   the terms of the contract. Award of prejudgment interest is 
   affirmed. Denial of attorneys fees is reversed.
