Civil case - contracts. On claim for fraudulent nondisclosure,
district court did not err in finding defendant did not have a duty
of disclosure with respect to its inability to acquire financing for
the parties' transaction; district court did not err in finding parties'
discussions had not ripened into an oral contract; claim that
defendant misrepresented its ability to enter into a contract failed
because none of plaintiff's evidence proved that defendant knew
it could not obtain financing at the time it made the representation.
