Tax-deferred annuities were securities covered by the Securities Litigation Uniform Standards Act of 1998, and plaintiffs' claims concerning the marketing of the annuities were in substance based on material misrepresentations and non-disclosures in the purchase or sale of a covered security; as a result, their state law claims were preempted by the Act.
