covered by the Securities Litigation Uniform Standards Act of
1998, and plaintiffs' claims concerning the marketing of the
annuities were in substance based on material misrepresentations
and non-disclosures in the purchase or sale of a covered security;
as a result, their state law claims were preempted by the Act.
