   Civil Case - diversity breach of contract. District court's judgment in 
   favor of insurance agents who resigned after discovering company failed 
   to disclose to them fee increases is reversed. Agents did not prove 
   constructive discharge and district court's use of constructive discharge 
   to justify an award of post-termination damages for the breach of contract 
   was error. Award of prejudgment interest on Wage Payment Collection Law 
   claim was error. Other award under Wage Payment Collection Law is affirmed.
