U.S. Court of Appeals Case No: 02-2693
Western District of Arkansas
Civil case - Contracts. Under Arkansas law, plaintiffs' reliance
on an alleged oral guarantee not contained in the parties'
written contract was not justifiable and would not support
a claim for fraud in the procurement of the contract; where
contract specifically reserved defendant's right to determine
the terms and conditions of relevant sales, including the ability
to decide whether or not to make the sales, decision to halt
sales could not form the basis for a claim for breach of implied
covenant of good faith and fair dealing.
