   Civil Case - declaratory judgment. Secured creditor sold collateral in 
   commercially unreasonable manner and is deemed to retain collateral in 
   satisfaction of debt. District court's grant of summary judgment 
   awarding deficiency judgment is reversed. Under Texas law at the time, 
   secured creditor is barred from seeking deficiency judgment; creditor is 
   also precluded from foreclosing on the real estate. Other issues 
   remanded.
