Civil case - contracts. With respect to claims defendants misrepresented
lock-up agreement requirements to shareholders in advance of an initial
public offering, even if plaintiff could establish that defendants owed
them a duty to disclose that not all stockholders had been required to sign
the agreements, plaintiffs could not show they reasonably relied on the
information, and the district court did not err in dismissing their negligent
misrepresentation claims; breach of contract claim was properly
dismissed as the oral contract plaintiff relied on was superseded by two
other written agreements. Judge Colloton, concurring in part and
dissenting in part.
