   Bankruptcy Case - Bankruptcy Appellate Panel's reversal of bankruptcy
   court's decision denying declaratory judgment action and allocating
   settlement proceeds to Tri-River is affirmed. BAP correctly concluded
   bankruptcy court's conclusions were clearly erroneous. Bankruptcy court
   erred in allocating burden, in assessing validity of misrepresentation
   claim, in construing damages, and in assessing viability of claims.
