Claims that defendants made false statements to induce plaintiffs to approve the demutualization of an insurance company and to surrender their membership interests in exchange for shares of common stock were covered by the Act, and the district court did not err in refusing to remand the matter to state court or in granting defendants' motion to dismiss for failure to state a claim.
