Civil case -civil procedure. While its analysis of defendant's motion to
set a default judgment was too narrowly focused, the district court did not
abuse its discretion in denying the motion to set aside the declaratory
judgment that plaintiffs are the sole owners of the company in question as
the undisputed record showed defendant had no meritorious defense to
the action; however, the court erred in rescinding the parties' contract for
purchase of the company as the court's judgment did not restore the status
quo.
