   Civil case - ERISA. Under a plan which provided severance benefits to
   employees who resigned with good reason after a change in control, the
   plan administrator's interpretation of the provisions covering reduction in
   salary or bonus opportunities was entitled to deference, and the district
   court erred in determining the administrators abused their discretion in
   denying severance benefits. Judge Smith, dissenting.
