not replace the parties' earlier oral franchise agreement as the
agreements addressed different contractual relationships; as a result,
the e-commerce agreement's arbitration language cannot be attributed
to the oral franchise agreement, and the district court did not err in
refusing to compel arbitration of a dispute involving only the oral
franchise agreement.
