District court's determination that no serious procedural irregularity tainted the review process is supported by the record; any conflict of interest caused by defendant funding a severance plan administered by a committee composed of its employees did not cause a serious breach of the plan administrator's fiduciary duty; district court did not err in refusing to apply a less-deferential standard to the decision to deny plaintiff's application for severance benefits; plan administrator's decision that plaintiff was not entitled to severance benefits because he was discharged for knowingly and willfully violating the company's data privacy policies was supported by the evidence and was a reasonable interpretation of the provisions of the plan.
