U.S. Court of Appeals Case No: 07-2011
U.S. District Court for the District of Minnesota - Minneapolis
[PUBLISHED] [Bye, Author, with Smith and Colloton, Circuit Judges]
Civil case - Contracts. Defendant's president did not have actual
authority to bind the company because he was not authorized by the
Board of Directors to execute the fixed rate energy supply agreement in
question; as the board never approved the agreement, no enforceable
contract was ever formed, and the district court did not err in granting the
defendant's motion for summary judgment; claims of equitable estoppel,
fraud and unjust enrichment rejected.
