   Board of Directors to execute the fixed rate energy supply agreement in
   question; as the board never approved the agreement, no enforceable
   contract was ever formed, and the district court did not err in granting the
   defendant's motion for summary judgment; claims of equitable estoppel,
   fraud and unjust enrichment rejected.
