   Civil case - fraud. District court did not err in finding that plaintiffs had
   failed to state a claim under Section 106(c) of the Arkansas Securities Act
   as the complaint failed to contain any allegations which might establish
   that defendant materially aided the fraudulent sale of promissory notes to
   the plaintiffs; allegations were also insufficient to establish a claim for 
   common law fraud.
