termination obligations on which plaintiff's claims are premised, and the
district court did not err in dismissing the claims; even if the extrinsic
evidence plaintiff offered were relevant to the analysis, it failed to
establish defendant had the subjective intent to pay the plaintiff. Judge
Melloy, dissenting.
