District court did not err in dismissing plaintiffs' Private Securities Litigation Reform Act suit for failure to state with particularity a legitimate basis for the claims of fraud; the complaint, which alleged defendants misled investors concerning the seriousness of the problems with its Fidelis brand of defibrillator leads, failed to show defendants made materially false or misleading statements or that the company or the individuals knew the statements to be false; district court did not err in denying motion to amend the complaint as the proposed amendment would not cure the defects in the complaint.
