Civil case. District court erred in granting defendant's motion for
summary judgment on plaintiff's contract claims because the parties'
agreement placed a duty on defendant to apply plaintiff's underwriting
guidelines to all applications for insurance submitted by its retailers under
the terms of the contract; plaintiff's negligence claims fails as a matter of
law, and the district court did not err in granting defendant's motion for
summary judgment on that claim. Judge Shepherd, concurring in part and
