Bankruptcy Appellate Panel. Bankruptcy court did not err in finding
the invoice purchase agreement in question was a financing agreement
rather than a true sale; because the transaction was a disguised loan rather
than a true sale, the perfection of the security interest was a transfer of an
interest in the debtor's property; since the interest was perfected within
the 90-day preference period, the bankruptcy court did not err in finding it
was a preference or in avoiding it.
