Civil case - Contracts. The district court did not err in determining the
Financial Institutions Reform, Recovery and Enforcement Act of 1989 barred
it from exercising jurisdiction over defendant OSM's counterclaim as OSM
was not excused from exhausting the FIRREA claims process before pursuing
its counterclaim; the district court did not err in determining that the
parties' contract required defendant OSM to pay plaintiff its share of the
proceeds from sale of a note after subtracting plaintiff's share of unpaid
expenses; with respect to a separate loan agreement, defendant BF-Negreve
breached the agreement by withholding plaintiff's share of collections;
attorneys' fees award affirmed.
