   Civil case - Insurance. The district court granted the insurer's motion to 
   dismiss plaintiff's claim that the directors-and-officers-liability policy 
   required the insurer to indemnify and defend the company and its chief 
   executive against claims brought by investors. Held: the court erred in 
   finding the policy unambiguously excluded coverage; reversed and remanded 
   for further proceedings.
